Advantech Shareholder Approved 2005 Dividend

Advantech Co. Ltd. (2395.TW) held the 2006 General Shareholder Meeting on June 16, at which the shareholders approved the proposal for distribution of 2005 profits.
Advantech CFO, Ms. Dora Chang, stated the major conclusions of this shareholders meeting as follows:
1. Shareholders approved the 2005 Financial Statements, with NT$8,512.2 million revenue, NT$2,429.8 million net income after tax, and NT$6.05 earning per share after tax.
2. Shareholders approved the proposal for 2005 profit distribution: (1) NT$4.2 per share was proposed to the common shareholders for dividend, of which NT$4.0 per share in cash and NT$0.2 in stock.  (2) 10% of 2005 net income after legal reserve will be distributed as employee bonus.  The total amount of the bonus is NT$220,648,357, of which NT$170,648,357 in cash and NT$50,000,000 in stock.  (3) 1% of 2005 net income after legal reserve isDirector and Supervisor bonus, totaling NT$22,064,836.

3. The re-election of one Director and one Supervisor is completed.  The previous Director, Advantech Foundation Development Co., Ltd., and the previous Supervisor, Mr. Gary Tseng, resigned from their positions on March 28, 2006.  In this shareholder meeting, ASUSTeK Computer Inc. (represented by Mr. Ted Hsu) and Ms. Sharon Su are elected as the Director and the Supervisor respectively.  Their term will be from June 16, 2006 to May 23, 2008.  That ASUSTeK being one of the Board members would further strengthen the strategic alliance between Advantech and ASUSTeK.
